Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the Patrolr platform ("Patrolr", the "Service"), provided by Patrolr AI LLC ("Loxen", "we", "us", or "our"). Patrolr is a security-guard workforce management platform offered through a web portal and a mobile application.
1. Acceptance of Terms
By accessing or using the Service, or by clicking to accept these Terms, you agree to be bound by them. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Patrolr provides tools for security workforce management, including patrol management, shift scheduling, real-time guard location tracking and attendance, geofence-based check-in and automatic check-out, incident and activity reporting with photo and video attachments, and tools for Organizations to create invoices and collect payments from their clients. The Service is available through a web portal for administrators and a mobile application for guards and administrators. We may add, change, or remove features from time to time.
3. Accounts, Eligibility, and Registration
You must be at least 16 years old and capable of forming a binding contract to use the Service. You agree to provide accurate and complete registration information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly at contact@patrolr.ai if you suspect any unauthorized use of your account.
4. The Organization Relationship
Most users access Patrolr on behalf of an employer or organization that subscribes to the Service (the "Organization"). Where you use the Service in that capacity:
- The Organization is responsible for provisioning and de-provisioning user accounts, assigning roles, and managing access;
- The Organization controls the data entered into and generated through its account and is responsible for its lawful collection and use, including providing any required notices to and obtaining any required consents from its personnel;
- Your use of the Service may be subject to your Organization's own policies, and the Organization may access, monitor, export, or delete data associated with its account, including data you submit; and
- We process data on the Organization's behalf in accordance with our agreement with the Organization and our Privacy Policy.
5. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation;
- Access or use another user's account without authorization, or share your credentials;
- Upload or transmit any content that is unlawful, infringing, harmful, or that you do not have the right to submit;
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its underlying systems;
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law;
- Use the Service to build a competing product, or resell or sublicense the Service without our written permission; or
- Use automated means to access the Service in a manner that degrades or overloads it.
6. Intellectual Property
The Service, including all software, design, text, graphics, and other materials (excluding data you or your Organization submit), and all related intellectual property rights, are owned by Loxen or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended business purpose. All rights not expressly granted are reserved. You retain your rights in the data you submit and grant us the rights necessary to host, process, and display it in order to provide the Service.
7. Payments and Invoicing
The Service includes tools that allow an Organization to generate invoices and collect payments from its own clients. Payments are processed by Stripe (using Stripe Connect); to use these features, an Organization must create and maintain a Stripe account and is subject to Stripe's terms. Loxen is not a party to, and is not responsible for, the underlying transactions between an Organization and its clients, including the goods or services invoiced, disputes, refunds, or chargebacks.
8. Third-Party Services
The Service relies on third-party providers, including Amazon Web Services (cloud hosting), S3-compatible object storage, Supabase (authentication), Resend (email), Stripe (payments), and AI providers (OpenAI and Anthropic) used to help generate reports. Your use of such third-party services may be subject to their own terms and policies. We are not responsible for the acts or omissions of third-party providers.

You agree to indemnify and hold harmless Loxen and its affiliates from and against any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your data, or your breach of these Terms or applicable law.
12. Term and Termination
These Terms remain in effect while you use the Service. We may suspend or terminate your access at any time if you breach these Terms, if required by law, or if necessary to protect the Service or other users. You or your Organization may stop using the Service at any time. Upon termination, your right to use the Service ends. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts located in Alameda County, California, except where prohibited by applicable law.
14. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the "Effective Date" above and, where appropriate, provide additional notice. Your continued use of the Service after an update takes effect indicates your acceptance of the revised Terms.
